On January 1, 2024, the Corporate Transparency Act (CTA) went into effect in the U.S., impacting millions of small businesses. The act mandates that both newly established and existing businesses (corporations, limited liability companies, and certain other entities) may be required to report additional company information to the government. The newly mandated reporting requirements apply to both Domestic Businesses registered to do business in a state and Foreign Businesses (including privately formed entities and any other similar entities) formed under the law of a foreign country that are registered to do business in the United States.
The most common reporting mistake is failing to or improperly filing.
The Corporate Transparency Act (CTA) includes civil and criminal penalties for failing to file or incorrectly reporting required information. Penalties range from fines of up to US$500 for each day that the violation continues to criminal fines of up to US$10,000, and even penalties of imprisonment of up to two years.
